Terms of Service

1. Acceptance of Terms

By accessing, browsing, or using JustHoney.ai (the "Service"), operated by QUANTUMCAP LTD (Company number 17131047), a company registered in England and Wales with its registered office at 71-75 Shelton Street, Covent Garden, London, WC2H 9JQ ("Company", "we", "us", or "our"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"), along with our Privacy Policy, which is incorporated herein by reference.

If you do not agree to these Terms, you must immediately discontinue use of the Service. Your continued use of the Service following any modifications to these Terms constitutes your acceptance of those modifications.

These Terms constitute a legally binding agreement between you and QUANTUMCAP LTD. We may update these Terms from time to time, and the most current version will always be available on this page.

2. Eligibility

You must be at least 18 years of age to use JustHoney.ai. By using the Service, you represent and warrant that:

• You are at least 18 years old
• You have the legal capacity to enter into a binding agreement
• You are not barred from using the Service under any applicable laws in your jurisdiction
• You will comply with these Terms and all applicable local, state, national, and international laws and regulations

We reserve the right to request proof of age at any time and to terminate accounts where we reasonably believe the user does not meet the age requirement. If you are accessing the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

3. Account Registration & Security

To access certain features of the Service, you must create an account. You may register using an email address and password, or through supported third-party authentication providers (such as Google, Discord, or X/Twitter).

When creating and maintaining your account, you agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information to keep it accurate
• Maintain the security and confidentiality of your login credentials
• Not share your account or credentials with any third party
• Immediately notify us at support@justhoney.ai of any unauthorized use of your account
• Accept responsibility for all activities that occur under your account

We reserve the right to suspend, disable, or delete your account (and any associated data) if we determine that you have violated these Terms, provided false information, or if your account has been inactive for an extended period. Account deletion is permanent and cannot be reversed.

4. Subscriptions & Payments

JustHoney.ai offers both free and paid subscription tiers. Paid subscriptions ("Premium") unlock additional features, capabilities, and content.

Billing

• Subscription fees are billed in advance on a recurring basis (monthly or annually, depending on your chosen plan)
• All prices are displayed in USD unless otherwise indicated
• Payment is processed through our third-party payment provider. By subscribing, you agree to their terms of service as well
• You authorize us to charge your selected payment method for recurring fees until you cancel

Cancellation

• You may cancel your subscription at any time through your account settings with a single click, or by contacting support
• Upon cancellation, your Premium access will continue until the end of your current billing period
• After your subscription expires, your account will revert to the free tier
• Cancellation stops future charges; it does not by itself entitle you to a refund of amounts already paid, except as set out in our Refund Policy

Refunds & Withdrawal Rights

Refund eligibility, the 14-day statutory withdrawal right for EU/EEA and UK consumers under Directive 2011/83/EU, goodwill refunds, and the conditions under which the withdrawal right is lost (Art. 16(m) CRD) are described in full in our Refund Policy, which forms part of these Terms.

By expressly consenting at checkout to the immediate supply of digital content (messages, image and video generations, Nectar), EU/EEA and UK consumers acknowledge that they lose the 14-day right of withdrawal for content that has already been consumed. The remainder of the contract may still be withdrawn subject to a proportionate deduction for services already rendered, in accordance with Article 14(4)(b) CRD.

Price Changes

We reserve the right to modify subscription pricing at any time. If we change the price of your subscription, we will provide you with at least 30 days' notice before the price change takes effect. Your continued use of the Service after the price change constitutes your agreement to the new pricing.

5. Free Tier & Trial

We may offer a free tier or trial period with limited access to the Service. Free tier features, usage limits, and availability may change at any time without notice. We are under no obligation to maintain the free tier indefinitely.

If you are on a free trial, it will automatically convert to a paid subscription at the end of the trial period unless you cancel before the trial ends. We will remind you before the trial conversion occurs.

6. User Conduct & Prohibited Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You are solely responsible for your conduct while using the Service.

You agree NOT to:

• Use the Service for any illegal or unauthorized purpose, including but not limited to violating any applicable laws or regulations
• Generate, request, or distribute content that sexually exploits, abuses, or endangers minors in any way
• Use the Service to harass, stalk, threaten, or intimidate any person
• Impersonate any person or entity, or falsely state or misrepresent your affiliation with a person or entity
• Attempt to gain unauthorized access to any portion of the Service, other accounts, computer systems, or networks connected to the Service
• Use any automated means (bots, crawlers, scrapers) to access the Service without our express written permission
• Interfere with, disrupt, or create an undue burden on the Service or the networks and servers connected to it
• Upload, transmit, or distribute any viruses, malware, or other harmful code
• Attempt to reverse-engineer, decompile, disassemble, or otherwise derive the source code of the Service
• Resell, sublicense, or commercially exploit the Service or any content generated through the Service without our prior written consent
• Use the Service to generate spam, phishing content, or fraudulent communications
• Circumvent or attempt to circumvent any access controls, rate limits, or content moderation systems

We reserve the right to investigate and take appropriate action against anyone who, in our sole discretion, violates these provisions, including reporting the user to law enforcement authorities where applicable.

7. AI-Generated Content

By using the Service, you acknowledge and agree that:

• AI-generated text, images, voice, video, and other content may not always be accurate, appropriate, complete, or factual
• AI companions do not have real feelings, consciousness, or awareness. Any emotional expressions are simulated
• The Service should not be used as a substitute for professional advice, including medical, legal, financial, or psychological counsel
• You should not make important life decisions based solely on information or advice provided by an AI companion
• AI-generated images and media are synthetic creations and do not depict real individuals
• We do not guarantee the quality, reliability, or suitability of any AI-generated content for any particular purpose
• AI behavior may change over time as we update and improve our models and systems

QUANTUMCAP LTD expressly disclaims any liability for actions you take or decisions you make based on AI-generated content. You use AI-generated content at your own risk.

8. User Content & License

"User Content" refers to any text, messages, images, prompts, feedback, or other material that you submit, post, or transmit through the Service.

You retain ownership of your User Content. However, by submitting User Content, you grant QUANTUMCAP LTD a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, modify, distribute, display, and perform your User Content solely for the purposes of:

• Providing, operating, and maintaining the Service
• Improving and developing the Service and our AI technology
• Ensuring compliance with these Terms and applicable laws
• Creating anonymized, aggregated datasets for model training and research (in which your individual content is not identifiable)

You represent and warrant that you own or have the necessary rights to your User Content and that your User Content does not infringe upon the rights of any third party.

9. Intellectual Property

The Service and all of its contents, features, and functionality — including but not limited to the website design, text, graphics, logos, icons, images, audio, video, software, source code, AI models, character designs, and compilations — are the exclusive property of QUANTUMCAP LTD or its licensors and are protected by United Kingdom and international copyright, trademark, patent, trade secret, and other intellectual property laws.

The JustHoney.ai name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of QUANTUMCAP LTD. You may not use such marks without our prior written permission.

No right, title, or interest in or to the Service or any content on the Service is transferred to you, and all rights not expressly granted are reserved by QUANTUMCAP LTD.

10. Privacy

Your privacy is important to us. Our collection and use of personal information in connection with the Service is described in our Privacy Policy. By using the Service, you consent to the collection and use of your information as described therein.

You acknowledge that internet-based communications are not entirely private or secure. Any message or information you send through the Service may be intercepted or accessed by third parties, despite our best efforts to protect your data.

11. Third-Party Services & Links

The Service may integrate with or contain links to third-party websites, services, or applications that are not owned or controlled by QUANTUMCAP LTD. These include, but are not limited to, payment processors, authentication providers, cloud infrastructure providers, and AI model providers.

We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party services. You acknowledge and agree that QUANTUMCAP LTD shall not be responsible or liable for any damage or loss caused by your use of or reliance on any third-party services.

12. Termination

Termination by You

You may terminate your account at any time by contacting us at support@justhoney.ai. Upon termination, your right to access the Service ceases immediately. Any active subscriptions will not be refunded for the remaining billing period.

Termination by Us

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without prior notice. Reasons for termination may include, but are not limited to:

• Breach of these Terms
• Fraudulent, abusive, or illegal activity
• Nonpayment of fees
• Extended periods of inactivity
• Requests from law enforcement or government agencies
• Discontinuation or material modification of the Service

Effect of Termination

Upon termination, all licenses and rights granted to you under these Terms will immediately cease. We may delete your account data in accordance with our Privacy Policy. Sections of these Terms that by their nature should survive termination (including, without limitation, ownership provisions, warranty disclaimers, indemnification, and limitations of liability) will remain in effect.

13. Disclaimers

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, JUSTHONEY.AI DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

Without limiting the foregoing, we do not warrant that:

• The Service will be available at all times, uninterrupted, or error-free
• The results obtained from using the Service will be accurate, reliable, or complete
• The quality of any content, products, services, or information obtained through the Service will meet your expectations
• Any errors in the Service will be corrected
• The Service is free of viruses or other harmful components

You expressly agree that your use of the Service is at your sole risk. Some jurisdictions do not allow the exclusion of certain warranties, so some of the above limitations may not apply to you.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL JUSTHONEY.AI, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, OR ASSIGNS BE LIABLE FOR:

• Any indirect, incidental, special, consequential, exemplary, or punitive damages
• Any loss of profits, revenue, data, goodwill, or other intangible losses
• Any damages arising from your use of or inability to use the Service
• Any damages arising from unauthorized access to or alteration of your data or transmissions
• Any damages arising from the conduct of any third party on the Service
• Any other damages related to your use of the Service

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE GREATER OF (A) THE AMOUNT YOU HAVE PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).

Some jurisdictions do not allow the limitation or exclusion of liability for certain damages, so some of the above limitations may not apply to you. In such jurisdictions, our liability will be limited to the greatest extent permitted by law.

15. Indemnification

You agree to defend, indemnify, and hold harmless QUANTUMCAP LTD, its officers, directors, employees, agents, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, or expenses (including reasonable legal fees) arising out of or relating to:

• Your violation of these Terms
• Your use of the Service
• Your User Content
• Your violation of any third-party rights, including intellectual property or privacy rights
• Your violation of any applicable law, rule, or regulation

16. Dispute Resolution

Informal Resolution

Before filing any formal legal action, you agree to first attempt to resolve any dispute informally by contacting us at support@justhoney.ai. We will attempt to resolve the dispute informally within 60 days.

Binding Arbitration

If the dispute is not resolved informally, you and QUANTUMCAP LTD agree to resolve any remaining dispute through binding arbitration, rather than in court. Arbitration will be conducted by a neutral arbitrator in accordance with the rules of the London Court of International Arbitration (LCIA). The arbitration will take place in London, England, or remotely at your election.

Class Action Waiver

YOU AND QUANTUMCAP LTD AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

Exceptions

Nothing in this section shall prevent either party from seeking injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement of a party's intellectual property rights.

17. Governing Law

These Terms and any disputes arising out of or related to these Terms or the Service shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law principles.

To the extent that arbitration does not apply, you consent to the exclusive jurisdiction and venue of the courts of England and Wales for the resolution of any disputes.

18. Changes to Terms

We reserve the right to modify, amend, or replace these Terms at any time at our sole discretion. When we make material changes, we will:

• Update the "Last updated" date at the top of this page
• Provide notice through the Service (such as a banner or notification)
• For significant changes, send an email to the address associated with your account

Your continued use of the Service after any changes to the Terms become effective constitutes your acceptance of the revised Terms. If you do not agree with the revised Terms, you must stop using the Service and terminate your account.
